1. Agreement to Terms

Welcome to SkillClick Technologies Pvt. Ltd. ("SkillClick," "Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website skillclick.in, our applications (including RewardSmart), and our services.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

2. Description of Services

SkillClick Technologies provides:

• Mobile application development services
• Technical consulting services
• Cloud solutions and backend development
• UI/UX design services
• Software products including the RewardSmart application

3. Eligibility

To use our services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using our services under applicable law

By using our services, you represent and warrant that you meet these eligibility requirements.

4. User Accounts

Some of our services may require you to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

5. Intellectual Property Rights

5.1 Our Intellectual Property

All content, features, and functionality of our website and services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of SkillClick Technologies or its licensors and are protected by intellectual property laws.

5.2 Client Work Product

For custom development projects, the ownership of work product will be governed by the specific agreement between SkillClick and the client. Generally, upon full payment, clients receive ownership or appropriate licenses to the deliverables as specified in the project agreement.

5.3 License to Use

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our services for their intended purposes, subject to these Terms.

6. Prohibited Uses

You agree not to use our services to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Transmit any harmful, threatening, or offensive content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our services or servers
• Use our services for any fraudulent or illegal purpose

7. Consulting and Development Services

7.1 Project Agreements

All consulting and development projects will be governed by a separate project agreement or statement of work that specifies the scope, timeline, deliverables, payment terms, and other project-specific details.

7.2 Client Responsibilities

Clients engaging our services agree to:

• Provide accurate and complete project requirements
• Respond to communications and requests in a timely manner
• Provide necessary access, resources, and materials
• Make payments according to the agreed schedule
• Review and provide feedback on deliverables promptly

7.3 Changes and Modifications

Any changes to the project scope, timeline, or deliverables must be mutually agreed upon in writing. Additional work may result in additional charges.

8. Payment Terms

• Invoices are due as specified in the agreement
• Late payments may incur interest charges
• We reserve the right to suspend services for overdue payments
• All fees are non-refundable unless otherwise specified

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKILLCLICK TECHNOLOGIES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100) IF YOU HAVE NOT MADE ANY PAYMENTS.

10. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

11. Indemnification

You agree to indemnify, defend, and hold harmless SkillClick Technologies and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your access to or use of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit or transmit through our services

12. Termination

We may terminate or suspend your access to our services at any time, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

• Your right to use our services will immediately cease
• We may delete any data associated with your account
• All provisions of these Terms that should survive termination shall survive

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms or our services shall be resolved through good faith negotiations. If negotiations fail, disputes shall be submitted to the exclusive jurisdiction of the courts located in India.

These Terms, together with our Privacy Policy and any project-specific agreements, constitute the entire agreement between you and SkillClick Technologies regarding the use of our services.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
